The project described herein (the “Resort”) and the residential units and marina slips located within the Resort (the “Units”) are not owned, developed, sold or leased by Pendry North America, LLC or its affiliates (collectively, “Pendry”) and Pendry does not make any representations, warranties or guaranties whatsoever with respect to the Units,
the Resort or any part thereof.
PORT FERDINAND SRL, a domestic society (SRL) registered in Barbados (“Port Ferdinand SRL”), CORSAIR COVE SRL, a domestic society (SRL) registered in Barbados, and TROPOPS, SRL, a domestic society (SRL) registered in Barbados (collectively, “Licensee”) uses the PENDRY brand name and certain other Pendry trademarks (collectively, the “Trademarks”) in connection with the sales and marketing of the Units in the Resort under a limited, non-exclusive, non-transferable and non-sublicensable license from Pendry. The foregoing license may be terminated or may expire without renewal, in which case neither the Units nor any part of the Resort will be identified as a PENDRY-branded project or have any rights to use the Trademarks.
